2024 combined shareholders’ meeting

 

COFACE’s 2024 Combined Shareholders' Meeting will take place on Thursday 16th May 2024 at 02.00pm (CET) at the Group’s headquarters and registered office:

1 Place Costes et Bellonte

92270 Bois-Colombes – France

 
Shareholders may attend the meeting regardless of the number of shares they own, under the conditions described in the notice of meeting.

Shareholders may choose one of the following three ways to exercise their voting rights at the Annual General Meeting:

  • Attend the General Meeting;
  • Give proxy to the Chairman of the Meeting or to any other person or entity; or
  • Vote by mail or by internet.

Shareholders wishing to attend the meeting must request an admission card in accordance with the participation procedures detailed in the notice of meeting.

Shareholders are invited to vote remotely prior to the General Meeting (by internet, by mail or by using the following e-mail address ct-mandataires-assemblees@uptevia.com or to give a proxy to the Chairman of the General Meeting and to carefully read the terms of participation detailed in the notice of meeting.

The VOTACCESS platform for this General Meeting will be open from 25 April 2024 at 9:00 a.m. until 15 May 2024 at 3:00 p.m. (Paris time).

Written questions may be sent to COFACE SA prior to the General Meeting if they are received before the end of the fourth business day preceding the date of the General Meeting, i.e. 10 May 2024. They must be sent to the Chairman of the Board of Directors by registered letter with acknowledgement of receipt or electronically to the following address investors@coface.com, enclosing proof of their status as a shareholder for the question to be taken into account.
 

Preparatory documents

 

Shareholders of the Company will be invited to attend the Ordinary and Extraordinary General Meeting, date and location to be communicated on this site.

According to law and within the legally-defined deadlines, all documents that must be disclosed to the General Meeting will be made available:

  • at the registered office of COFACE SA: 1 Place Costes and Bellonte, 92270 Colombes, France;
  • on the website of the company https://www.coface.com  under the section "Investor / General Assembly", or
  • sent on request to on request from “Uptevia– Service General Meetings” – Cœur Défense, 90-110 Esplanade du Général de Gaulle - 92931 Paris la Défense Cedex - France

Questions & answers

What are the different forms of general shareholders’ meetings?

 

The shareholders make their decisions at the General Shareholders’ Meetings which are qualified as ordinary or extraordinary.

The Ordinary Shareholders’ Meeting is called upon to make all decisions which do not modify the capital or by-laws. Notably, it appoints, replaces, re-elects or revokes directors, approves, denies or corrects the financial statements, and rules on the distribution and allocation of benefits.

The Extraordinary Shareholders’ Meeting deliberates on all proposals of the Board of Directors aimed at modifying the capital or amending the company’s by-laws.

The Combined General Meeting puts together the previous two shareholders’ meetings (ordinary and extraordinary), on the same date and under the same convening notice.

 

What are the different ways of holding Coface shares?

 

COFACE shares can be held as registered (forme nominative) or bearer shares (au porteur) at the option of the holder. Any shareholder may, at its expense, change from one form of holding to the other.

Any shareholder may elect to have its shares held in registered form and registered in its name in an account currently maintained by UPTEVIA Corporate Trust (Cœur Défense, 90-110 Esplanade du Général de Gaulle - 92931 Paris la Défense Cedex - France) for and on behalf of the Company.

Any shareholder may elect to have its shares held in bearer form and recorded in its name in an account maintained by an accredited financial intermediary, such as a French broker, bank or other authorized financial institution.

 

Who can attend or vote in the general meeting?

 

Any shareholder, regardless of the number of shares they hold, may attend this General Meeting in person, vote by post or designate a proxy to vote on their behalf.
